1. Agreement to Terms

These Terms & Conditions (“Terms”) govern your access to and use of the Excuse Spirits website at https://excuse-spirits.com (the “Site”) and any purchase you make through it. They form a binding agreement between you and Excuse Wines & Spirits, Inc., a wholly-owned subsidiary of Chilco River Holdings, Inc. (OTC: CRVH), trading as Excuse Spirits (“we,” “us,” “our,” or “Company”).

By accessing the Site, creating an account, or placing an order, you accept these Terms and our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Site.

2. Age Restriction — 21+ Only

This Site and our products are intended solely for adults of legal drinking age in the United States.

By using this Site or placing an order, you represent and warrant that:

• You are at least 21 years of age
• You are legally permitted to purchase and receive alcoholic beverages in your jurisdiction
• You are not purchasing alcohol for resale, and not for any person under 21
• Any person accepting delivery on your behalf is also at least 21 years of age

We reserve the right to request proof of age at any point, and to refuse or cancel any order where age or eligibility cannot be verified to our satisfaction.

3. Eligibility and Account Registration

You may be able to create an account to place orders, track shipments, and manage preferences. If you do:

• You agree to provide accurate, current, and complete information
• You are responsible for maintaining the confidentiality of your login credentials
• You are responsible for all activity that occurs under your account
• You agree to notify us promptly of any unauthorized use

We may suspend or terminate any account at our discretion, including for suspected fraud, age misrepresentation, resale activity, or violation of these Terms.

4. Products and Availability

We make reasonable efforts to display our products accurately, but:

• Product images, labels, packaging, and descriptions are for illustration; actual products may vary, including vintage, batch, proof, and label revisions
• Colors may appear differently depending on your screen
• Products are offered subject to availability and may be limited, allocated, discontinued, or restricted by quantity
• We may limit quantities per customer, per household, or per order

Nothing on the Site constitutes an offer to sell where such sale would be prohibited by law.

5. Pricing and Payment

• All prices are in U.S. dollars and are subject to change without notice
• Prices do not include applicable taxes, excise taxes, shipping, handling, or delivery fees, which are calculated at checkout
• Payment is processed by third-party payment providers; we do not store full payment card numbers
• You represent that you are authorized to use the payment method you provide

Pricing errors

Despite our best efforts, a product may occasionally be listed at an incorrect price or with incorrect information. If a product's correct price is higher than the listed price, we may, at our discretion, cancel the order and issue a full refund, or contact you for instructions before shipping. We reserve the right to refuse or cancel any order placed at an incorrect price, whether or not the order has been confirmed and your payment method charged.

6. Orders and Acceptance

Your submission of an order is an offer to purchase, not a completed sale. An order confirmation email acknowledges receipt of your order — it does not constitute acceptance.

A sale is complete only when the order is accepted and shipped by us or by a licensed retailer fulfilling on our behalf. We reserve the right to refuse, limit, or cancel any order for any lawful reason, including:

• Failed or incomplete age verification
• A shipping address in a jurisdiction where we cannot lawfully ship
• Suspected fraud, chargeback history, or unauthorized payment
• Suspected resale or commercial purchase without a license
• Product unavailability or a pricing/listing error

If we cancel an order after payment, we will refund the amount charged.

7. Alcohol Sales and Licensing

Alcohol sales in the United States are regulated at the federal, state, and local level, and rules differ meaningfully from state to state.

• Orders placed through the Site may be fulfilled by licensed retailers or wholesalers in the applicable jurisdiction, and the sale occurs at the licensed retailer's location
• Title to the product passes to you at the licensed retailer's premises, and the carrier acts as your agent for delivery
• We do not ship to states or localities where the shipment of alcoholic beverages to consumers is prohibited
• You are solely responsible for knowing and complying with the alcohol laws that apply where you live and where the product is delivered
• You may not resell any product purchased through this Site without appropriate licensing

8. Shipping and Delivery

• We ship only to addresses in states and localities where we can lawfully deliver alcoholic beverages
• We cannot ship to P.O. boxes, APO/FPO addresses, or freight forwarders
• Delivery timeframes shown at checkout are estimates, not guarantees
• Shipments may be delayed or held by carriers due to weather, extreme temperatures, holidays, or regulatory inspection
• We may hold shipments during extreme heat or freezing conditions to protect product quality
• You are responsible for providing a complete and accurate delivery address; address correction fees or reshipment costs may be passed on to you

9. Adult Signature Requirement

Federal and state law require that alcohol shipments be received by an adult.

• All shipments require the signature of a person 21 or older with valid government-issued photo ID
• Carriers will not leave alcohol unattended at a door
• We recommend shipping to an address where an adult is available during business hours, such as a workplace
• Carriers typically make a limited number of delivery attempts before returning the package

10. Risk of Loss and Title

Title and risk of loss pass to you upon the carrier taking possession at the licensed retailer's premises. Once a shipment is in the carrier's possession, delivery is subject to the carrier's terms of service. We are not responsible for loss, delay, or damage caused by the carrier, though we will assist you in filing a claim where appropriate.

11. Returns, Refunds, and Damaged Product

Because of the laws governing alcohol, we generally cannot accept returns of alcoholic beverages, and we cannot accept any product that has been opened.

We will make it right if:

• Your order arrives damaged, leaking, or broken
• You received the wrong product
• Your order is missing items
• The product is defective or spoiled on arrival

To make a claim

Contact customerservice@excuse-spirits.com within [X] days of delivery with your order number and clear photographs of the damaged product, the packaging, and the shipping label. We will replace the product or issue a refund at our discretion.

Not covered

• Change of mind, or not enjoying the taste of a product
• Orders returned because no adult was available to sign (see Section 9)
• Products purchased from a third-party retailer rather than directly from us
• Damage occurring after successful delivery, including improper storage

Approved refunds are issued to the original payment method and typically post within 5–10 business days, depending on your bank.

12. Promotions and Discount Codes

• Discount codes, offers, and promotions are subject to their own stated terms and expiration dates
• Codes generally may not be combined unless expressly stated
• Codes have no cash value, are non-transferable, and may not be resold
• In some jurisdictions, alcohol discounting, coupons, or free-shipping offers are restricted by law and may not be available to you
• We reserve the right to modify or terminate any promotion, and to void codes obtained through error, fraud, or unauthorized distribution

13. Acceptable Use

You agree not to:

• Use the Site for any unlawful purpose, or in violation of any alcohol law
• Misrepresent your age, identity, or location
• Purchase products for resale without proper licensing
• Attempt to gain unauthorized access to the Site, other accounts, or our systems
• Use bots, scrapers, or automated tools to access the Site or purchase limited products
• Interfere with the Site's operation, security, or availability
• Reproduce, duplicate, or exploit any portion of the Site for commercial purposes without our written permission

14. Intellectual Property

All content on the Site — including the Excuse Spirits name and logo, brand marks, bottle and label designs, product names, photography, video, text, graphics, and site design — is owned by or licensed to Excuse Spirits and is protected by copyright, trademark, and trade dress law.

You may view and download content for your personal, non-commercial use. You may not copy, modify, distribute, sell, or use our marks or content for any commercial purpose without our prior written consent.

15. User Content and Submissions

If you submit reviews, comments, photos, videos, or other content to us or tag us on social media, you grant Excuse Spirits a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, adapt, publish, and display that content in connection with our marketing and business, in any media, without additional compensation or attribution.

You represent that you own or have the rights to the content you submit, that you are 21+, and that it does not infringe anyone's rights or violate any law. We may remove or decline to publish any submission at our discretion.

16. Disclaimers and Responsible Consumption

Health and responsible consumption

Nothing on this Site is medical advice or a health claim. Alcohol consumption carries risks. Do not drink and drive. Women should not drink alcoholic beverages during pregnancy because of the risk of birth defects. Consumption of alcoholic beverages impairs your ability to drive a car or operate machinery, and may cause health problems.

You assume full responsibility for your consumption of our products and for the conduct of anyone to whom you serve or provide them.

17. Limitation of Liability and Indemnification

Indemnification

You agree to indemnify, defend, and hold harmless Excuse Spirits and its officers, employees, agents, and partners from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Site, your purchase or consumption of our products, your provision of our products to any other person, your violation of these Terms, or your violation of any law or third-party right.

18. Dispute Resolution and Arbitration

Informal resolution first

Before filing any formal claim, you agree to contact us at customerservice@excuse-spirits.com and give us 30 days to resolve the issue informally. Most matters can be settled this way.

Binding arbitration

If we cannot resolve a dispute informally, you and Excuse Spirits agree that any dispute arising out of or relating to these Terms, the Site, or any product will be resolved by binding individual arbitration administered under the rules of a recognized arbitration provider, rather than in court, except that either party may bring an individual claim in small claims court.

Arbitration will take place in [Your State], or another mutually agreed location, and may be conducted by phone, video, or written submission where the rules permit.

Class action waiver

You and Excuse Spirits agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any class, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims.

Governing law and venue

These Terms are governed by the laws of the State of [Your State], without regard to its conflict-of-law rules. For any dispute not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in [Your County, Your State].

19. Changes, Termination, and General Terms

Changes to these Terms

We may update these Terms at any time. Changes take effect when posted, and we will update the “Last Updated” date above. Your continued use of the Site after changes are posted constitutes acceptance. The Terms in effect at the time you place an order govern that order.

Changes to the Site

We may modify, suspend, or discontinue any part of the Site or any product at any time, without notice or liability.

Termination

We may suspend or terminate your access to the Site or your account at any time, for any lawful reason, including violation of these Terms. Sections that by their nature should survive termination — including Sections 14 through 18 — will survive.

Severability and waiver

If any provision of these Terms is found unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force. Our failure to enforce any right or provision is not a waiver of it.

Entire agreement and assignment

These Terms, together with our Privacy Policy and any additional terms applicable to a specific promotion or product, constitute the entire agreement between you and Excuse Spirits regarding the Site. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.

Force majeure

We are not liable for any failure or delay caused by events beyond our reasonable control, including acts of God, natural disasters, extreme weather, labor disputes, carrier failures, supply shortages, regulatory action, or changes in alcohol law.
